TERMS AND CONDITIONS FOR USE OF LICENSED AUDIO SAMPLES
By purchasing, downloading, or using the loops, riffs, melodies, and hooks ("Licensed Material") created and provided by **Steev Crispin** ("Licensor"), you ("Licensee") agree to the following terms and conditions. If you do not agree to these terms, you are not authorized to use the Licensed Material.

1. Grant of License
1.1 **License**:
Upon purchase, Licensor grants Licensee a **non-exclusive, non-transferable license** to use the Licensed Material in musical compositions, recordings, and productions, subject to the terms of this agreement.

Licensee may use the Licensed Material in commercial and non-commercial projects, including but not limited to:
- Albums, singles, and EPs
- Soundtracks for TV, film, and video games
- Advertisements and promotional content
- Social media content and other online platforms
1.3 **Prohibited Uses**:
Licensee may not:
- Resell, redistribute, or repackage the Licensed Material as standalone loops, samples, or content.
- Claim ownership of the Licensed Material.
- Use the Licensed Material in a manner that infringes on Licensor's rights or violates applicable laws.
2. Ownership and Copyright
2.1 **Ownership**:
The Licensed Material remains the sole and exclusive property of Licensor. Purchasing the Licensed Material does not transfer ownership to Licensee.
2.2 **Copyright**:
The Licensed Material is protected by copyright law. Licensee agrees not to register the Licensed Material with any copyright office, performing rights organization (PRO), or other entity.
2.3 **Territories**:
The Licensed Material is licensed for use worldwide, unless otherwise agreed upon in writing between Licensor and Licensee.
3. Credit Requirements
Licensee agrees to credit Licensor when the Licensed Material is used in a final production as follows:
3.1 **Writer’s Credit** (Proportional Share):
Licensor must be credited as a co-writer of any composition that incorporates the Licensed Material. The Licensor’s share of the composition shall be determined proportionally based on the significance and extent of the Licensed Material used in the final production. The percentage share will range from 10% to 25%, depending on the following factors:
- Extent of Use: The percentage of the Licensed Material used in the composition (e.g., if the Licensed Material forms the core melody, riff, or hook versus a minor background element).
- Creative Contribution: The degree to which the Licensed Material defines the overall composition (e.g., if the Licensed Material is central to the song structure or arrangement).
The exact percentage share shall be negotiated in good faith between the Licensor and Licensee prior to the release of the work. In the absence of mutual agreement, the default share shall be 15%.
3.2 **Producer Credit**:
Licensor must be credited as a producer in the final production where the Licensed Material is used. The credit shall appear as:
- “Guitar loops / Audio samples written & produced by Steev Crispin”
3.3 **Metadata Credit**:
Licensor’s name and PRO ID number (e.g., SABAM ID or BMI ID) must be included in all metadata associated with the final production, including but not limited to:
- Registrations with performing rights organizations (PROs)
- Digital platforms (e.g., Spotify, Apple Music, YouTube)
- Any other applicable databases
Failure to provide credit as outlined above constitutes a violation of this agreement.
4. Royalties and Compensation
4.1 **Performance/Session Work**:
The purchase price paid by Licensee for the Licensed Material is compensation for the performance/session work only.
4.2 **Royalties**:
This agreement does not waive Licensor’s right to collect royalties. Licensor retains the right to collect:
- Performance royalties through their performing rights organization (PRO), identified as follows:
- PRO: SABAM
- PRO ID: 00443623273
- Mechanical royalties for reproductions of the composition.
- Any other applicable royalties.
4.3 **Publishing Share**:
Licensor is entitled to retain their share of publishing royalties as a co-writer of any composition that incorporates the Licensed Material.
5. Indemnification
Licensee agrees to indemnify, defend, and hold harmless Licensor from and against any and all claims, damages, liabilities, and expenses (including reasonable attorney’s fees) arising out of or related to Licensee’s use of the Licensed Material in violation of this agreement.
6. Termination
Licensor reserves the right to terminate this agreement if Licensee breaches any of its terms. Upon termination, Licensee must immediately cease all use of the Licensed Material and destroy any copies in their possession.
7. Governing Law
This agreement shall be governed by and construed in accordance with the laws of **[Your Country/State]**.
8. Acceptance of Terms
By purchasing, downloading, or using the Licensed Material, Licensee acknowledges that they have read, understood, and agreed to these terms and conditions.
9. Term and Timing
9.1 **Duration of License**:
The license granted under this agreement is perpetual, meaning it does not expire, unless terminated under the conditions outlined in Section 6 (Termination).
9.2 **Retroactive Use**:
This license applies only to works created after the date of purchase or agreement. Any retroactive use of the Licensed Material in works created prior to this agreement requires separate written approval from the Licensor.
